Terms of Service

These terms govern your use of FlowPay, the split-fee collection service available at takeflowpay.com and app.takeflowpay.com ("the Service"), operated by FlowPay ("we", "us"). By creating an account or using the Service you agree to these terms. If you use the Service on behalf of a practice or firm, you represent that you have authority to bind it.
1. What the Service does
FlowPay lets professionals create invoices whose amount is split across multiple payers, issue each payer a payment link, track payment status, and receive funds. Payments are processed by Stripe through your own Stripe connected account. FlowPay is a software service: we are not a bank, money transmitter, escrow agent, or law firm, and we never take custody of your funds or your clients' funds. Funds move from payers to your Stripe account under Stripe's terms, including the Stripe Connected Account Agreement, which you must accept to use the Service.
2. Permitted use
The Service is for collecting fees for professional services you actually provide. You may not use it to collect funds held for others (including trust, IOLTA, retainer-in-trust, or settlement funds), for peer-to-peer transfers, or for any activity prohibited by law or by Stripe's Restricted Businesses policy. We may suspend accounts that violate this section.
3. Your account
You are responsible for the accuracy of the information you provide, for activity under your account, and for keeping your credentials secure. You must be at least 18 and able to form a binding contract. Early-access accounts may require an invite code and may be granted, limited, or withdrawn at our discretion.
4. Fees
Our current pricing is published at takeflowpay.com/pricing: a per-collected-invoice platform fee and, on paid plans, a monthly subscription. Stripe's processing fees apply in addition and are set by Stripe. Platform fees are deducted through Stripe at the time of collection. We may change pricing with at least 30 days' notice; changes apply to invoices created after the notice period.
5. Payments, refunds, and disputes
Charges, refunds, and card disputes are executed by Stripe on your connected account. You are the merchant of record for your fees and are responsible for refunds, chargebacks, and any associated Stripe fees. FlowPay provides records of invoices, payment links, and per-payer payment status to support you in a dispute, but we do not decide disputes.
6. Your clients' data
You are responsible for having the right to give us the payer names and email addresses you enter. We use them only to operate the Service (sending payment links, receipts, and status updates) as described in our Privacy Policy and Data Processing Addendum.
7. Availability and support
We aim for high availability but the Service is provided without an uptime guarantee, particularly during early access. We may modify features with reasonable notice of material reductions. Support is by email at hello@takeflowpay.com.
8. Intellectual property
We own the Service and its content, except your data. You own your data and grant us a license to process it to operate the Service. You may not copy, resell, or reverse engineer the Service.
9. Termination
You may stop using the Service and close your account at any time. Because funds settle to your own Stripe account, closing FlowPay does not affect money already collected, and your payment records remain available in your Stripe dashboard. We may suspend or terminate accounts for breach of these terms, unlawful use, or risk to the Service, with notice where practicable.
10. Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. FlowPay does not provide legal, tax, or accounting advice, and does not guarantee that any payer will pay.
11. Limitation of liability
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Service is limited to the platform fees you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data.
12. Governing law and changes
These terms are governed by the laws of the United States and the state in which FlowPay's operator is established, without regard to conflict-of-laws rules. We may update these terms; material changes will be announced by email or in the Service at least 14 days before taking effect, and continued use after that constitutes acceptance.
